Studio Venza Terms & Conditions
Effective Date: August 13, 2026
These Terms & Conditions (“Terms”) govern your use of the Studio Venza website and your purchase and use of services and digital materials offered by Emily A Mitchell ID LLC, doing business as Studio Venza (“Studio Venza,” “we,” “us,” or “our”). Please read these Terms carefully before purchasing a service. By checking the box indicating that you agree to these Terms and completing your purchase, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.
1. Agreement and Acceptance
When you purchase a Studio Venza service through our website, your purchase is governed by:
these Terms & Conditions;
the applicable product or service page;
the information and selections shown on your checkout or order page; and
any service-specific terms expressly presented to you at the time of purchase.
Together, these materials constitute the agreement between you (“Client” or “you”) and Studio Venza regarding your purchase (the “Agreement”).
You must be at least 18 years old and legally capable of entering into a binding agreement to purchase Studio Venza services. If Studio Venza and a Client separately sign a proposal, statement of work, or service agreement for a customized engagement, that document will control to the extent it conflicts with these Terms. Our Privacy Policy is available separately and explains how we collect, use, and protect personal information.
2. Studio Venza Services
Studio Venza provides virtual interior design, visualization, education, and related design services, which may include services such as the Whitebox Home Model, Virtual Design Services, Full Design Partnership, 3D modeling, renderings, design consultations, and digital resources. The specific services and deliverables included in your purchase are those identified on the applicable product page and checkout page at the time you purchase. Unless specifically included in your Order Details, additional design work, revisions, modeling, renderings, sourcing, consultations, or other services are not included and may require an additional fee.
3. Client Responsibilities
The quality and accuracy of Studio Venza's work depend on the information provided by the Client.
You agree to provide complete and reasonably accurate information requested by Studio Venza, which may include:
floor plans;
dimensions and measurements;
photographs or videos;
existing-condition information;
furniture or product information;
project goals and preferences; and
other materials reasonably necessary to complete the Services.
You are responsible for confirming that information you provide is accurate. You represent that you have the right to provide Studio Venza with any plans, photographs, drawings, images, or other materials you submit to us and authorize Studio Venza to use those materials as reasonably necessary to perform the Services. Studio Venza is not responsible for errors, delays, or discrepancies caused by inaccurate, incomplete, outdated, or missing information provided by the Client or a third party. If Studio Venza requests clarification or additional information necessary to complete the Services, the delivery timeline may be paused until that information is received.
4. Project Timing and Delivery
Any delivery timeline stated on the applicable product page or checkout page begins only after Studio Venza has received all materials and information reasonably required to begin the project. Delivery dates are estimates unless expressly stated otherwise in writing. Client delays, missing information, significant changes to information previously provided, events outside Studio Venza's reasonable control, or requests outside the original scope may extend the delivery timeline. Digital deliverables will be provided electronically using the delivery method selected by Studio Venza.
5. Payments
Prices and payment terms are displayed at checkout or otherwise agreed to in writing before work begins. By completing a purchase, you authorize the applicable payment processor to charge the payment method you provide for the amount displayed at checkout. Studio Venza may suspend or delay Services if a required payment is declined, reversed, disputed, or otherwise not received. Unless expressly stated otherwise, prices do not include services or deliverables outside the scope identified at the time of purchase.
6. Cancellations and Refunds
Because Studio Venza services may involve customized work performed specifically for the Client, all sales are final and non-refundable except where otherwise expressly stated in these Terms, on the applicable product page, or where required by law. A change of mind, change in design preference, project delay, decision not to move forward with a renovation or purchase, or failure to use the delivered materials does not entitle the Client to a refund. Any guarantee specifically offered with a service is limited to the terms of that guarantee. The Whitebox Home Model is offered with a 14-Day Satisfaction & Accuracy Guarantee described in Section 7(C); except as provided in that guarantee, all sales remain final and non-refundable.
7. Whitebox Home Model — Service-Specific Terms
The following additional terms apply to purchases of the Studio Venza Whitebox Home Model.
A. Purpose of the Whitebox Home Model
The Whitebox Home Model is a custom 3D visualization and design-planning tool created using information provided by the Client.
It is intended to help the Client better understand and explore their space, including furniture layouts, spatial relationships, finishes, and potential design decisions. The Whitebox Home Model is a visualization tool only. It is not an architectural drawing, construction document, engineering document, permit drawing, fabrication drawing, shop drawing, or other document intended to be relied upon for construction.
B. Model Accuracy
Studio Venza will use reasonable care to model the space based on the plans, dimensions, photographs, and other documentation supplied by the Client. However, a 3D model cannot replace field verification. Before ordering furniture, cabinetry, fixtures, equipment, materials, or other items — and before beginning construction, demolition, installation, or renovation work — the Client is responsible for independently verifying all dimensions, clearances, site conditions, access requirements, and other relevant information. Contractors, architects, engineers, fabricators, installers, vendors, and other professionals should perform their own measurements and field verification rather than relying solely on the Whitebox Home Model.
C. 14-Day Satisfaction & Accuracy Guarantee
Studio Venza stands behind the quality of every Whitebox Home Model. Within 14 calendar days of initial model delivery, a Client may request a remedy under this guarantee if either of the following applies:
Accuracy. The model contains an objective modeling error — meaning Studio Venza incorrectly modeled information that was clearly provided before modeling began and can reasonably be verified against the source documentation the Client supplied; or
Usability. After completing the Whitebox Home Model Tutorial, the Client is genuinely unable to use the delivered model.
If a qualifying request is made within the 14-day period, Studio Venza will, at its discretion, either revise the model until it accurately reflects the Client's space and is usable, or refund the amount paid for the Whitebox Home Model in full. Studio Venza will make reasonable efforts to resolve the issue through revision before a refund is issued.
This guarantee does not cover:
incorrect or incomplete measurements supplied by the Client;
conditions that were not visible or disclosed before modeling;
new measurements or information provided after the model was created;
changes in design preference;
requests to test new layouts, products, finishes, or design ideas;
additions to the original project scope; or
discrepancies resulting from real-world conditions differing from the information originally supplied.
To request a remedy under this guarantee, the Client must contact Studio Venza at hello@studiovenza.com within the 14-day period and describe the issue. This guarantee is the Client's sole and exclusive remedy for model accuracy or usability, and is the only circumstance under which a refund is available.
D. Design Decisions
The Whitebox Home Model is intended to support Client decision-making, not replace it. Any design feedback or recommendations provided by Studio Venza represent professional design opinions based on the information reasonably available at the time. The Client remains responsible for final decisions regarding purchases, construction, renovation, installation, and implementation. Studio Venza does not guarantee that the Client will prefer a particular design choice once implemented in the physical space.
E. Furniture and Product Fit
A product appearing to fit within a 3D model does not guarantee that it can be physically delivered to or installed in the Client's home.
The Client is responsible for confirming:
actual product dimensions;
door and hallway clearances;
elevators and stairways;
building access;
turning radiuses;
installation requirements; and
other delivery or site constraints.
F. Materials, Finishes, and Color
Digital representations of colors, finishes, textures, materials, lighting, and products are approximate. Actual products and materials may differ because of screen settings, lighting conditions, manufacturing variation, photography, rendering limitations, dye lots, natural material variation, or other factors. Clients should review physical samples where appropriate before making final purchases or installation decisions.
G. Included Sessions
The Whitebox Home Model includes two live video sessions: a Handoff Call (approximately 15 minutes) when the model is delivered, and a Model Review (approximately 30 minutes) after the Client has had time to work in the model. The Client is responsible for scheduling both sessions using the booking method provided by Studio Venza. Sessions must be scheduled and completed within 60 days of model delivery unless otherwise agreed in writing. If a Client fails to attend a scheduled session without at least 24 hours' notice, the session may be treated as used, though Studio Venza may accommodate rescheduling at its discretion.
H. Technical Support
The Whitebox Home Model includes 30 days of technical support beginning on the date of model delivery, provided via email and Loom video. Support covers technical questions about navigating and using the model in SketchUp — such as moving or resizing components, adjusting layouts, applying materials, or resolving file issues. Studio Venza will respond to support requests within 3 business days. Technical support does not include full-service design work, sourcing, additional modeling, or new design deliverables, which are available separately for an additional fee.
I. Custom Furniture Items
The Whitebox Home Model includes up to three (3) specific furniture pieces of the Client's choosing, modeled into the Client's file. To model a requested item, Studio Venza requires adequate reference information, such as dimensions and clear photographs or a product link. If a requested item cannot be reasonably modeled due to insufficient information or exceptional complexity, Studio Venza will notify the Client and may request additional information, model a reasonable approximation, or substitute an alternative item at the Client's direction. Custom items are non-branded models created for visualization purposes and are subject to the accuracy and product-fit provisions in this Section 7.
8. Third-Party Products and Vendors
Studio Venza may reference, recommend, link to, or incorporate products or materials sold by third-party retailers, manufacturers, vendors, or service providers. Unless expressly stated otherwise, Studio Venza does not manufacture, sell, control, or warrant those third-party products.
Studio Venza is not responsible for third-party:
pricing;
availability;
discontinuations;
inventory;
shipping or delivery;
lead times;
product changes;
product quality;
manufacturing defects;
returns;
warranties; or
customer service.
Product pricing and availability may change after Studio Venza provides a recommendation.
9. Third-Party Software
Certain Studio Venza deliverables may be created, delivered, viewed, or edited using third-party software or platforms, including SketchUp and other applications. Studio Venza may provide files in formats intended to be compatible with third-party software available at the time of delivery. Studio Venza does not control and cannot guarantee the continued availability, pricing, features, compatibility, licensing requirements, or terms of any third-party software. The Client is responsible for maintaining any software account, subscription, hardware, or license required for the Client's intended use and for complying with the applicable third party's terms. Studio Venza is not responsible for future software updates or changes that affect a previously delivered file.
10. Intellectual Property
A. Studio Venza Materials
The Studio Venza website and Studio Venza's original materials — including written content, graphics, videos, tutorials, templates, processes, educational materials, renderings, 3D model previews, libraries, guides, and other original content — are owned by Studio Venza or used under license and are protected by applicable intellectual property laws. Except for the limited licenses expressly granted in these Terms, no ownership rights are transferred to the Client.
B. Custom Client Deliverables
Studio Venza retains ownership of its original creative work and intellectual property incorporated into Client deliverables. Once payment has been received in full, Studio Venza grants the Client a non-exclusive, non-transferable license to use the custom deliverables provided for the Client's own project and for the purpose for which they were created. For a Whitebox Home Model purchased for a Client's personal residence, the Client may retain, access, and modify the delivered model for their own personal home-design purposes. The Client may not resell, sublicense, distribute, publish for commercial exploitation, or represent Studio Venza's deliverables as work originally created by the Client.
C. Educational Materials and Resources
Any tutorial, course, Practice Model, furniture or layout library, finishes library, budget template, guide, video, downloadable resource, or similar material provided as part of a Studio Venza purchase is licensed solely to the purchaser for their personal use unless expressly stated otherwise.
These materials may not be:
shared with others;
uploaded to a shared or public platform;
reproduced for distribution;
resold;
sublicensed;
used to create a competing product, course, template, library, or service; or
otherwise commercially exploited without Studio Venza's written permission.
11. Client Materials
The Client retains ownership of photographs, plans, documents, and other original materials supplied by the Client. The Client grants Studio Venza a limited license to access, copy, modify, store, and use those materials only as reasonably necessary to perform the Services, maintain ordinary business records, enforce the Agreement, and exercise any portfolio rights permitted below.
12. Confidentiality
Each Party may receive nonpublic information from the other in connection with the Services (“Confidential Information”). Confidential Information may include project plans, photographs, measurements, budgets, financial information, personal information, proprietary processes, business information, and other information that a reasonable person would understand to be confidential. Each Party agrees to use the other Party's Confidential Information only as reasonably necessary in connection with the Services and to take reasonable measures to protect it from unauthorized use or disclosure.
Confidential Information does not include information that:
is publicly available through no breach of these Terms;
was lawfully known to the receiving Party before disclosure;
is lawfully received from another source without a confidentiality obligation; or
is independently developed without use of the other Party's Confidential Information.
Studio Venza may disclose Confidential Information to employees, independent contractors, consultants, hosting providers, software providers, and other service providers who reasonably require access in connection with the Services or Studio Venza's ordinary business operations. Either Party may disclose information where required by applicable law, court order, or legal process.
13. Portfolio and Marketing Use
Unless the Client requests confidentiality in writing before project work begins, Studio Venza may display de-identified images of its work, including 3D models, renderings, design concepts, and other visual deliverables, in Studio Venza's portfolio, website, social media, educational content, presentations, and marketing materials. Studio Venza will not intentionally publish the Client's street address, financial information, or other personally identifying information as part of such use without permission. If a Client does not want their project displayed publicly, the Client must notify Studio Venza in writing before project work begins. Nothing in this section gives Studio Venza ownership of the Client's personal photographs or other Client-owned materials beyond the rights expressly granted in these Terms.
14. No Architectural, Engineering, or Construction Services
Unless expressly agreed otherwise in a separate written agreement, Studio Venza does not provide architectural, structural engineering, mechanical engineering, electrical engineering, plumbing engineering, surveying, code consulting, permitting, contracting, or construction services.
Studio Venza's drawings, models, renderings, recommendations, and design materials should not be used as a substitute for documents or professional services legally required to be provided by licensed architects, engineers, contractors, or other qualified professionals.
The Client and the Client's contractors and consultants are responsible for complying with applicable building codes, laws, regulations, building requirements, permitting requirements, and professional standards.
15. Disclaimer of Warranties
Studio Venza will perform its Services with reasonable professional care.
Except for any express guarantee specifically provided in these Terms or in the applicable Order Details, the Services and deliverables are provided without additional warranties, whether express or implied, to the fullest extent permitted by applicable law.
Studio Venza does not guarantee any particular financial, aesthetic, construction, resale, or other outcome from the Client's use of the Services.
Nothing in these Terms excludes any warranty or consumer right that cannot legally be excluded.
16. Limitation of Liability
To the fullest extent permitted by applicable law, Studio Venza will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to the Services, the Site, or the Client's use of Studio Venza deliverables. This includes, without limitation and to the extent permitted by law, losses arising from purchases made in reliance on approximate visualizations, third-party products, construction decisions, installation decisions, software changes, or information inaccurately supplied by the Client. To the fullest extent permitted by law, Studio Venza's total aggregate liability arising out of a particular service or purchase will not exceed the total amount actually paid by the Client to Studio Venza for the specific service giving rise to the claim. Nothing in these Terms limits liability that cannot legally be limited or excluded.
Client Indemnification. To the fullest extent permitted by applicable law, the Client will indemnify, hold harmless, and, at Studio Venza's option, defend Studio Venza from and against any losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) ("Losses") resulting from any third-party claim, demand, or proceeding ("Third-Party Claim") based on the Client's: (i) negligence or willful misconduct; (ii) use of the Whitebox Home Model in a manner not authorized or contemplated by these Terms; (iii) use of the Whitebox Home Model in combination with data, software, hardware, equipment, or technology not provided or authorized in writing by Studio Venza; (iv) modifications to the Whitebox Home Model not made by Studio Venza; or (v) use of any version of the Whitebox Home Model other than the most current version delivered to the Client. The Client may not settle any Third-Party Claim against Studio Venza unless the settlement completely and forever releases Studio Venza from all liability with respect to that Third-Party Claim, or unless Studio Venza consents to the settlement. Studio Venza has the right, at its option, to defend itself against any such Third-Party Claim or to participate in the defense with counsel of its own choice.
17. Website Use
The Studio Venza website and its content are provided for lawful use only.
You may not:
use the Site for an unlawful purpose;
attempt to gain unauthorized access to the Site or its systems;
interfere with the operation or security of the Site;
scrape or systematically collect Site content using automated means without written permission;
reproduce or distribute Studio Venza content without authorization; or
misrepresent your identity or affiliation with Studio Venza.
Studio Venza may restrict access to the Site where reasonably necessary to protect the Site, its users, or Studio Venza's rights.
18. External Links
The Site may contain links to third-party websites, products, applications, or services. A link does not constitute an endorsement or guarantee by Studio Venza. Studio Venza does not control third-party websites and is not responsible for their content, privacy practices, availability, products, services, or terms.
19. Events Outside Our Control
Studio Venza will not be responsible for a delay or failure to perform caused by circumstances reasonably outside its control, including internet or technology outages, illness or emergency, natural disasters, government action, labor disruptions, third-party platform failures, or similar events. If such an event materially delays a project, Studio Venza will resume performance as reasonably practicable.
20. Governing Law
These Terms and any dispute arising out of or relating to them will be governed by the laws of the State of New York, without regard to conflict-of-law principles. To the extent permitted by applicable law, any legal proceeding arising from these Terms or Studio Venza's Services will be brought in a state or federal court located in New York County, New York, and the Parties consent to the jurisdiction of those courts.
Nothing in this section eliminates any consumer protection or other legal right that cannot lawfully be waived.
21. Changes to These Terms
Studio Venza may update these Terms from time to time. Updated Terms may apply to future use of the Site and future purchases after the revised Terms are posted. A service already purchased will remain governed by the version of the Terms accepted by the Client at the time of purchase, unless Studio Venza and the Client expressly agree otherwise.
22. Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect.
23. No Waiver
A failure by Studio Venza to enforce a provision of these Terms does not waive Studio Venza's right to enforce that provision or any other provision at a later time.
24. Entire Agreement
These Terms together with the applicable product page, Order Details, and any service-specific terms presented at purchase constitute the entire agreement concerning an online purchase from Studio Venza. They supersede prior discussions or communications relating to that purchase. If the Client and Studio Venza separately execute a written proposal, statement of work, or service agreement, that separately executed agreement will control to the extent of any conflict.
25. Electronic Acceptance
The Client agrees that checking the box indicating acceptance of these Terms and completing the purchase constitutes the Client's electronic acceptance of this Agreement. The Client agrees that electronic records relating to the purchase and acceptance of these Terms may be maintained as evidence of the transaction.
